Terms of Service

    These Terms of Service ("Terms") govern your access to and use of SeatSignal (the "Service"), operated by SeatSignal, a subsidiary of Ever Capital Inc. ("we", "us", "our"). By creating an account or using the Service you agree to these Terms.

    1. The Service

    SeatSignal is a subscription platform that helps directors discover open and pre-public board positions, generate application materials, and track their board-search activity. We do not guarantee that any application will result in a board appointment.

    2. Eligibility & account

    You must be at least 18 years old. You are responsible for the accuracy of information in your profile and for keeping your credentials secure. One account per individual.

    3. Subscriptions, billing & cancellation

    Paid plans are billed in advance on a recurring basis through our checkout provider. You may cancel at any time from your profile or by emailing hello@getseatsignal.com; access continues until the end of the current billing period. Refund eligibility is described in our Refund & Cancellation Policy.

    4. Acceptable use

    • No scraping, reverse engineering, or resale of platform data.
    • No misrepresentation of identity, qualifications, or independence.
    • No upload of unlawful, defamatory, or infringing content.
    • No use of the Service to circumvent securities-law obligations.

    5. AI-generated content

    Cover letters, CV drafts, fit memos and independence attestations produced by the Service are AI-generated drafts based on the information you provide. You are responsible for reviewing, fact-checking and editing every document before submitting it to a board or recruiter.

    6. Intellectual property

    The Service, including its software, design, copy and aggregated data, is owned by SeatSignal and Ever Capital Inc. Content you submit remains yours; you grant us a limited licence to host and process it to operate the Service.

    7. Disclaimers

    The Service is provided "as is". We do not guarantee accuracy, availability, or any specific outcome from your applications. Board appointment decisions are made by the relevant boards and nomination committees, not by us.

    8. Limitation of liability

    To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the amounts you paid us in the 12 months preceding the claim.

    9. Termination

    We may suspend or terminate accounts that violate these Terms. You may delete your account at any time.

    10. Governing law

    These Terms are governed by the laws of the jurisdiction of Ever Capital Inc.'s registered office, without regard to conflict-of-laws principles.
